The Foreign Business License is a permit that allows foreign nationals to operate businesses in sectors that are normally restricted to foreign investors under the Foreign Business Act (FBA).
Unlike BOI companies that get lots of benefits, FBL companies are usually subject to more restrictions than regular private companies.

Background & Legal Context
Under the Foreign Business Act (FBA) B.E. 2542 (1999), certain business activities are restricted for foreign
entities in Thailand.
FBL Requirements (See the list of applicable business categories attached at the end)
An FBL is mandatory for businesses under:
List 2: Activities related to national security, cultural heritage, or environmental relevance.
List 3: Activities in sectors where Thai businesses are considered not yet competitive.
Prohibited Businesses:
List 1 businesses (e.g., land trading, media, agriculture) are completely prohibited for foreigners and no license
can be granted.
Who Needs an FBL?
You must obtain an FBL if you are a foreigner as defined by the FBA—this includes:
- A non-Thai national or entity,
- A Thai-registered company with 50% or more foreign ownership,
- Or where a foreigner effectively controls management or serves as managing partner
- Capital Requirements for FBL in Thailand
- General Rule for Foreign-Owned Companies : A company with ≥50% foreign shareholding must have
minimum capital of not less than 2 million THB to operate any business in Thailand, whether it’s
restricted or not. - Restricted Businesses (List 2 or List 3 – Requiring FBL) If the business requires an FBL, the minimum
capital is: – –

3 million THB per business category
OR 25% of the average three-year estimated operating expenses, whichever is higher
If your estimated operating expenses over 3 years average 20 million THB/year:
25% × 20 million = 5 million THB → this becomes your minimum capital.
This rule ensures that the company is financially capable of operating and delivering economic benefit to
Thailand.
Scope :
Phase 1: Initial Consultation & Feasibility Check
1.1 Business Activity Assessment – –
Evaluate if the business falls under List 2 or List 3 of the FBA.
Provide guidance on eligibility for an FBL or possible alternatives (e.g., BOI promotion, Treaty of
Amity).
1.2 Shareholding & Structure Review – –
Verify foreign ownership status (≥ 50%).
Confirm registered capital requirements based on FBL regulations.
1.3 Preliminary Legal Advice – –
Advise on approval likelihood and required business benefits to Thailand.
Provide a roadmap with estimated fees, timelines, and required documents.

Phase 3: Application Submission
(Submission to DBD, payment of application fee, acknowledgment, etc.)
Phase 4: Application Review & Follow-Up
(Government evaluation, response to queries, liaison with DBD.)
Phase 5: Approval & License Issuance
(Approval notification, license fee payment, collection of FBL.)
Phase 6: Post-License Compliance

- Rice farming, crop farming, or orchard farming
- Animal husbandry
- Forestry and timber processing from natural forests
- Fishery, only in respect of the catching of aquatic animals in Thai territorial waters and in the
Exclusive Economic Zone of Thailand - Extraction of Thai medicinal herbs
- Trading and auctioning of Thai antiques or objects of historical value

o (b) Components of firearms, ammunition, and explosives
o (c) Armaments, ships, aircraft, or military vehicles
o (d) Equipment or parts of all types of war-related devices - Domestic land, water, or air transportation, including domestic aviation business
Category 2: Businesses Having Impact on Arts, Culture, Traditions, and Folk Handicrafts - Trading of antiques or art objects that are Thai works of art or handicrafts
- Production of carved wooden items
- Sericulture, production of Thai silk yarn, Thai silk weaving, or printing of Thai silk patterns
- Production of Thai musical instruments
- Production of goldware, silverware, nielloware, lacquerware, or Thai-style lacquerware
- Production of Thai-style ceramics or earthenware
Category 3: Businesses Having Impact on Natural Resources or the Environment - Production of sugar from sugarcane
- Salt farming, including rock salt production
- Production of rock salt
- Mining, including blasting or crushing of rocks
- Wood processing for furniture and utility items
